Try this:
fslmaths roi01.nii.gz -add roi02.nii.gz rois.combined (where rois.combined is the prefix of your created mask).

I think all you need is in fslmaths. Create your mask by summing the ROIs together then use -mas to apply your mask, e.g., "fslmaths <input_image> -mas <mask_image> <output_image>"
I guess mas must be short for mask :-)
