For those of you that use Divine and haven't seen this as yet:
Dear Customer,
Following our latest communication, we would like to update you on our
acquisition negotiation.
As you may know EBSCO Industries Inc. confirmed last December that it
had signed a letter of intent to acquire the European operations of
RoweCom Europe, Inc., a subsidiary of divine, inc., a leading provider
of solutions for the extended enterprise.
In addition a proposal from Swets Blackwell is being considered along
with the initial EBSCO offer. EBSCO and divine are still currently
proceeding with the definitive purchase agreement. The purchase is not
finalized to date.
In agreement with divine Inc. the Board of Directors of RoweCom/divine
Information Services Europe has decided to approach potential European
buyers and study new options that may allow the company to resume
business as quickly as possible should negotiations with EBSCO or
Swets
Blackwell fail to materialize in due time. Two potential investment
companies have responded positively to RoweCom/divine Information
Services Europe. The Board of Directors is hopeful of a decision by
the
end of next week.
Staff and management are keen to pursue every option to ensure the
future of the company and have requested publishers' and customers'
support for a further week, during which time an update will be sent.
