Nominations for GEM Elections 2000

Nominations are invited for the election of the first six directors of 
'new' GEM which is being formed as a company limited by guarantee and 
seeking charitable status.  These directors will also become the named 
trustees of GEM the charity.

Background  
The Executive Committee of GEM at its last meeting on 6 June 2000 
considered how to proceed with changing GEM's constitution. This was in 
response to the lack of a quorum at the extraordinary general meeting, 
called on 24 May 2000 to approve the draft memorandum and articles.  
After taking legal advice and much consideration the Executive Committee 
unanimously agreed to proceed with forming 'new' GEM as a company 
limited by guarantee.  At the next AGM on 31 August 2000 a resolution 
will be put to members asking them to approve the Executive Committee's 
actions and the transfer of assets from 'old' GEM to 'new' GEM.  Until 
the AGM, 'new' GEM will be inactive since it will have no money to 
spend.

The Executive Committee took this action as it felt it had a sufficient 
mandate from its members to proceed with the constitutional changes. 
Changing GEM's constitution has been discussed for many years and the 
outline proposals were unanimously agreed at the last AGM in 1999.  The 
draft memorandum and articles were circulated to all members at the end 
of April 2000, and at the meeting on 24 May 2000 the members present 
expressed their unanimous approval of the draft articles and memorandum 
with a few minor changes.

Interim directors 
The Executive Committee unanimously agreed that the interim directors of 
the company limited by guarantee should be Stephen Allen, Suzanne 
Spicer, Emma Webb, David Mosley, Alison Coles, Isabel Hughes, Rhian 
Thomas, Lynne Ashton and John Stevenson. These interim directors will 
hold office until AGM 2000; their principal task will be to seek 
charitable status for GEM.  At the AGM 2000 the results of the elections 
for the first six elected directors will be announced.  The elected 
directors will then have the power to co-opt a further three directors. 

Nominations for elections
The Executive Committee felt strongly that there should be continuity 
during this period of change.  Therefore, they unanimously decided to 
nominate the serving elected members of the Committee (Stephen Allen, 
Suzanne Spicer, Emma Webb, David Mosley, Alison Coles and Isabel Hughes) 
for the first elected directors' posts. Committee recommends members to 
vote for these candidates.  If elected, the above-named will co-opt 
Rhiain Thomas, Lynne Ashton and John Stevenson.  However, members have a 
right to propose and second any GEM member to be a director.  Therefore, 
members are invited to complete the form on the other side of this 
letter and to send it to the Secretary by 21 July 2000.

New Project Groups
One of the aims of the new GEM will be to involve more members in the 
work of GEM, drawing upon the great range of skills and expertise in the 
membership. Project Groups for several key areas will be set up shortly. 
These areas include: Training and Conference, Publications, Finance, 
Area Convenors and Communication & Advocacy.  If you wish to contribute

Nominations

The GEM Committee is nominating the following for the posts of elected 
directors of GEM: Stephen Allen, Suzanne Spicer, Emma Webb, David 
Mosley, Alison Coles and Isabel Hughes.

If you wish to nominate another member of GEM for the post of Director 
please complete this section of the form and return it with a signed 
statement (100 words maximum) from of the nominees to: Emma Webb, GEM 
Secretary, 21 Cluny Terrace, Edinburgh EH1 1JF. If there is an election 
the statements will appear on the ballot paper.
