Just putting an agreement in writing seems an excellent start to me. The
question I would have in my head while reading the agreement is "how
does this agreement allow any party to screw over another party?"
For real-world cases of such disputes, you can poke through

easier to ask all parties what horror stories THEY might have heard
about data disputes, and then ensure the agreement prevents them.
The desire for a written agreement (as well as your description of its
content) suggests both good faith and good derriere-covering instinct to
me, though. Odds seem high this will all work out fine.
