I'd suggest using MRIcron instead of MRIcro. This version is more NIfTI-compliant and shouldn't give the same warning.
If your data are indeed reoriented/realigned ANALYZE format, then you can just delete (or move) the .mat files. I suspect that the images are actually NIfTI format though, as the message indicates something about the NIfTI image including a rotation transformation.
Even before realigning the data, NIfTI headers often include rotation information -- unless the scans were acquired exactly axially or the DICOM to NIfTI conversion you used ignored the DICOM orientation information.
