practical tools related to specific topics, while also providing the opportunity to

Overview
This workshop will examine the issues, decisions and legal processes involved in the
acquisition and sale of content or publications and demonstrate how to achieve these
as successfully and smoothly as possible. It will focus on sales and asset purchase
but will also touch upon the considerations for buying or selling a company.
Programme:
* Establishing your acquisition or sale strategy
* When is it right to sell and why?
* SWOTs in terms of your list - what are your strategic objectives for growth?
* How to look for acquisition /sale opportunities?
* Understanding what you can offer - the need to be 100% professional in your
acquisitions/sale approach from start to finish.
* The bid document! How to develop the ultimate bid document that will help you
achieve your acquisition goals.
* Due Diligence. Pitfalls and issues to look out for in discussions
* Contract issues - an overview of the process, 'must-have' and 'nice-to-have'
clauses in a sale and purchase agreement.
* The practicalities of the transition once the contract is in place.
* How successful was that acquisition?
* Post-completion issues.
Who should attend
This workshop is designed for senior editorial/publishing managers or directors and
also managing directors involved in the process of buying or selling content or
publications or considering how to do so in future.
This course will end with a short drinks reception.
