I think you mixed up your errors :) As to

you should get

which means that some of the parameters mentioned is different between
the images used and that spm is trying to make up for it (but informs
you to this effect). It may be a mat-file that is present or has been
changed in one of them which may not show up otherwise. If the images
look fine and the result makes sense, there is good reason not to worry
too much about it.
For the other one,

the error should be

Two comments: one, you should NOT mix different versions of spm. There
are a number of exceptions but sticking to one version is generally a
good idea. Two, the error tells you the problem: the images do not seem
to resemble each other enough in order for spm to dare a matching
procedure. I would guess this is due to spm-version issues, so try No.1
and see if No.2 still is an issue.
