GETTING TO GRIPS WITH CONTRACTS & LICENCES
 

Birmingham Central Library - Tuesday 14th September 2004, 2.00 - 4.15 p.m.
 

This course will be of value to anyone who is involved with the purchase of electronic information. Contracts are complex legal documents, and a licence enables an organisation to use an information resource within certain agreements, such as for a certain time or on a particular site. Agreements only cover specified usage, so it is vital to understand the terms of an agreement before signing it. 

 

Programme:  

 

2.00 - Harry Drummond: Welcome and introductions

2.05 - Olivia Freeman: Contracts and licences for e-resources - made simple
2.40 - Vicky Gardiner: View from the Coalface - a practitioner case study 

3.20 - Break for coffee
3.35 - 4.15  Workshops with the two speakers to explore issues raised

 

Olivia Freeman's session will help people to understand the mystique and negotiate the terms and conditions that they sign up to.  She will be talking about the actual licence agreements and give definitions of the terminology and the things that people should look out for. She will also indicate some of the areas where they might want to negotiate to get things to suit their organisations.



Vicky Gardiner will then give a practitioner's viewpoint by going through her company's process of procurement from start to finish, with a focus on the "Battle of the Forms". This will include examples of forms used for different scenarios, and will highlight terms that may be essential if the contract is to proceed. She will also present examples of vendors' terms and conditions that could raise conflicts with the buyers' required terms in areas such as contract termination and indemnity/limited liability clauses.



ABOUT OUR SPEAKERS

 

Olivia Freeman was Head of Business Information at HSBC Bank, where she started the service which provides a global service to both bankers and customers. She now runs training courses on strategic planning, selecting e-resources and legal issues, and also works as a freelance researcher and information management specialist. She is a very experienced researcher and has undertaken major projects on a range of topics. Her particular expertise is in product development and competitor monitoring in financial services.

 

In addition, she is Treasurer of the Aslib Special Interest Group, Kimnet, and regularly publishes articles and speaks at meetings. 

 

 

Vicky Gardiner has worked in the information industry for several years and is currently a Vendor Manager for Ernst & Young LLP and part of a 25 strong global external content procurement team. Her main role is to manage vendor relationships across the UK firm, where the aim is to develop a centralised and consistent approach to buying external content. Existing relationships are leveraged to get best value, budgets are managed centrally and the firm's own Terms & Conditions are used wherever possible.

 

 

DIRECTIONS

 

Birmingham Central Library is close to the city centre. The main exit from the shopping centre above New Street station takes you down a wide ramp to street level. You then turn left into New Street itself. The Central Library is about 10 minutes walk along that, at the top of the slight hill. 

 

Directions to the meeting room itself will be available in the main entrance area.
